Terms of Service

1. Service Provider
Bebel is operated by Cellarage Ventures LLC, a Wyoming limited liability company, with registered agent in Sheridan, WY, USA.
These Terms govern your use of the Bebel AI secretary service, including the WhatsApp bot, web dashboard, mobile application, and all related features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
Brazilian users: Services are additionally governed by Brazilian law (see §21 — Jurisdiction). US users: Services are governed by Wyoming law (see §21 — Jurisdiction).
2. Service Definition
Bebel is an AI-powered virtual secretary that serves clients of professionals via WhatsApp. Features include 24/7 FAQ answering, appointment booking, escalation to the professional, reminders, and weekly summaries.
Bebel is not a replacement for a human receptionist, a tool for medical, legal, or financial advice, or a guarantee of 100% accuracy in responses.
3. Eligibility and Registration
Bebel is available to professionals such as doctors, lawyers, dentists, architects, salons, and similar service providers. You must provide truthful and accurate information about your name, services, pricing, and schedule.
Onboarding is conducted via WhatsApp (approximately 15 minutes) and includes a Secretary Training session during which Bebel learns your preferences and communication style. Information provided during onboarding is saved automatically with each exchange.
4. Data We Collect
From professionals: Name, business name, profession, schedule, services, pricing, FAQs, communication style preferences, and escalation contacts.
From end users (clients): Name, phone number, reason for visit, insurance information (if applicable), and booking details.
We do NOT store: Medical records, diagnoses, test results, prescriptions, legal strategy, privileged communications, or personal financial information beyond payment method.
5. Data Protection
We employ strict multi-tenant isolation — each professional can only access their own data. Sensitive data is encrypted at rest and all data is encrypted in transit. Administrative actions are logged for audit purposes. See our Privacy Policy for full details.
You may request a full data export or deletion at any time. Deletion requests are processed within 30 days via anonymization or permanent removal.
Post-cancellation retention: Your data is preserved indefinitely after cancellation or churn, allowing you to return without repeating onboarding. You may request deletion at any time regardless of account status.
6. Data Ownership
You own your FAQs, persona configuration, and business information. Bebel owns the AI models and underlying algorithms. Escalation responses may be used (with your permission) to improve Bebel's learning. Your data persists even if you change your WhatsApp number.
7. WhatsApp Terms
Bebel uses the official Meta Cloud API (WhatsApp Business API). Two communication channels are maintained: a Business channel (between your clients and the secretary) and a Platform channel (between you and Bebel).
Messages within 24 hours of a client's last inbound message may be sent as free-form responses. Outside that window, only pre-approved message templates are used, in compliance with Meta's policies.
WhatsApp does not guarantee 100% message delivery. Bebel is not responsible for restrictions imposed by Meta on your WhatsApp Business Account. By using the Service, you also accept Meta's WhatsApp Business terms and policies.
8. Professional Compliance
Health professionals: Bebel never provides diagnoses, recommends treatment, interprets tests, or suggests medications. Emergency keywords automatically escalate to the professional. Mandatory disclaimers are included in health-related responses.
Legal professionals: Bebel never gives legal advice, interprets contracts, or predicts case outcomes. Professional privilege guardrails are enforced.
You remain solely responsible for complying with your profession's regulations, ethical obligations, and confidentiality requirements.
9. Pricing and Payment
Bebel uses a credit-based model. Current tiers: Trial (R$0 for 3 months, 250 credits/mo, no rollover, 1 seat), Basic (R$20/mo, 50 credits, rollover up to 150, 1 seat), Pro (R$100/mo, 250 credits, rollover up to 750, 3 seats), Business (R$250/mo, 750 credits, rollover up to 2,250, unlimited seats), and Premium (R$450/mo, 1,500 credits, rollover up to 4,500, unlimited seats). Launch promotion: The first 100 professionals receive a 6-month Pro trial at no cost.
Credits are consumed per action: 0.02 per message answered, 0.75 per booking created, 0.25 per booking confirmed. Unused credits roll over to the next billing cycle, subject to the rollover cap for your tier.
Overage: You may optionally enable overage billing at R$1.00 per credit, with a configurable monthly cap between R$0 and R$500. When overage is enabled and your included credits are exhausted, the Service continues and overage charges are billed at the end of the billing cycle. When your overage cap is reached, automated service is paused and you are notified.
Negative balance: In exceptional situations, the credit balance may momentarily go negative. Bebel reserves the right to deduct the deficit from the next credits added to the account — whether from cycle renewal, top-up, or promotion. While the balance remains negative, automated service may be suspended.
Payment methods: PIX, credit card (recurring), and boleto bancário (Brazil); credit card (United States). Subscriptions renew automatically every 30 days. An annual billing option is available at a 25% discount.
Grace period: Failed payments are subject to a 7-day grace period. If payment is not resolved within the grace period, the Service is suspended until payment is completed.
Refunds: A full subscription refund is available within 7 days of purchase. Unused credits are not refundable, except in the case of account closure within 30 days of a significant top-up purchase. Upon account closure, remaining credits are forfeited and no refund is issued for unused subscription time.
Bebel reserves the right to change pricing, tiers, and credit consumption rates at any time, with at least 3 months' advance notice. No automatic tier downgrades will result from price changes. You may cancel at any time before new pricing takes effect.
10. Booking
Bookings are made via WhatsApp conversation on a 15-minute grid (:00, :15, :30, :45). Minimum advance time is configurable (default: 2 hours). Reminders are sent 24 hours before (with the option to confirm, reschedule, or cancel) and 1 hour before the appointment. Both the professional and the client may cancel or reschedule.
Bebel does not collect payment — it only communicates your cancellation policies. Service-related attachments (PDFs, images, up to 10 MB each) may be delivered automatically before or after the appointment, as configured.
11. Escalation
Bebel automatically escalates to the professional when: confidence in the AI response is low, the client explicitly requests a human, a complaint is detected, or emergency keywords are triggered. You are notified via the Platform WhatsApp channel.
You are responsible for responding to escalations in a timely manner. No response SLA is guaranteed; escalation handling is on a best-effort basis.
12. Notifications
Critical (always delivered, override quiet hours): WhatsApp disconnection, abuse detected, account security alerts.
High priority (delivered immediately): escalations, booking created or cancelled, urgent callback requests, complaints detected.
Medium and low priority (batched): rescheduling, FAQ suggestions, client feedback.
You may configure quiet hours during which non-critical notifications are held. A weekly summary is delivered on Sunday evenings.
13. Your Obligations
You shall: provide accurate and current information about your services, pricing, and schedule; manage escalations responsibly; comply with your profession's regulations; and refrain from using the Service for any illegal purpose, including but not limited to fraud, harassment, or extortion.
You shall not: share your Platform WhatsApp number with clients (it is an internal channel), or rely on Bebel as your sole means of client communication (you must maintain a fallback channel).
14. Limitation of Liability
Bebel is an AI assistant and is not a substitute for professional judgment. To the maximum extent permitted by applicable law, Bebel shall not be liable for: missed bookings due to WhatsApp interruptions or outages; inaccurate information generated by the AI model; client decisions made in reliance on Bebel's responses; your failure to respond to escalations; or restrictions imposed by Meta or WhatsApp.
No uptime SLA is provided; the Service is offered on a best-effort basis. The AI model may occasionally generate incorrect or incomplete information. Bebel always provides a path to reach a human professional.
15. Confirmation Before Action
Bebel shall not execute any write or destructive action — including but not limited to booking creation, cancellation, or schedule modification — without first presenting a summary of the intended action and receiving your explicit confirmation. Read-only operations (such as viewing your schedule or statistics) do not require confirmation.
16. Promotional Signature
Messages sent on behalf of professionals on the Trial and Basic tiers include a promotional signature: "Answered by WhatsApp assistant. Create yours free: [link]". This signature is removed on the Pro tier and above. The Premium tier additionally removes all Bebel branding from client-facing messages.
By using the Trial or Basic tiers, you acknowledge and accept the inclusion of this promotional signature in messages sent on your behalf.
17. End User Terms
When communicating with your clients, Bebel identifies itself as your virtual secretary (e.g., "Dr. Silva's secretary") and never impersonates you directly. Bebel always refers to you in the third person and adopts the tone and communication style you configure during Secretary Training.
End user (client) data is subject to the same Privacy Policy that governs professional data.
18. Cancellation and Suspension
By you: You may cancel at any time via WhatsApp or the Dashboard. Your data — including your Secretary Training configuration — is preserved after cancellation, allowing you to return without re-onboarding. You may request full data deletion at any time.
By Bebel: Bebel may suspend or terminate accounts for: non-payment after the grace period, violation of these Terms, or use of the Service for illegal purposes. You will be notified prior to any suspension.
Reactivation: Professionals who have cancelled are welcome to return at any time. Your configuration and training data are preserved unless you have requested deletion.
19. Intellectual Property
The "Bebel" brand, name, and associated trademarks belong to Cellarage Ventures LLC. The secretary is always named Bebel and is always presented with feminine identity — this is a branding choice and is not customizable.
You may customize how Bebel refers to you in conversations (e.g., Dr. Silva, João, etc.).
20. Early Access
During the early access phase: these Terms may be updated as the product evolves, features may change or be discontinued, the pricing model is not final, and no SLA is provided. Bebel has no legal obligation to maintain the Service during early access.
Early testers who actively contribute feedback and improvement suggestions shall receive a lifetime discount on future pricing (terms to be determined).
21. Jurisdiction
Brazil: Services are governed by the laws of the Federative Republic of Brazil. Data protection is governed by the LGPD (Lei Geral de Proteção de Dados, Lei 13.709/2018). Consumer protection under the CDC (Código de Defesa do Consumidor) applies where applicable. Disputes shall be resolved in the forum of the professional's county (comarca). Your LGPD rights include: access, correction, anonymization, portability, deletion, and consent withdrawal — exercisable via WhatsApp or email.
United States: Services are governed by the laws of the State of Wyoming. Applicable state privacy laws apply, including the CCPA/CPRA for California residents and similar state laws as enacted. Disputes shall be resolved in state or federal courts located in Wyoming. Your rights include: access to, deletion of, and opt-out of the sale of personal data (note: we do not sell personal data). These rights are exercisable via email.

22. General Provisions
Amendments: We may update these Terms at any time. Material changes shall be communicated via WhatsApp and/or email with at least 30 days' advance notice. Continued use of the Service after the notice period constitutes acceptance of the updated Terms.
Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cellarage Ventures LLC regarding the use of Bebel.
